1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and TFP Labs ("we," "our," or "us") governing your access to and use of the PixReel application (the "App"), our website at pixreel.app, and all related services (collectively, the "Services").
By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App or on our website. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms.
2. Eligibility
You must be at least 16 years of age to use the Services. If you are between 16 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. Parents and guardians are responsible for supervising their minor's use of the Services and for any activity on the minor's account.
By using the Services, you represent and warrant that you meet the eligibility requirements described above and that you have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Description of Services
PixReel is an AI-powered content generation application available on iOS and Android that enables users to create videos and images using artificial intelligence. The Services include:
- Text to Video: Generate AI videos from text prompts and descriptions.
- Image to Video: Transform uploaded photos and images into AI-generated videos.
- Text to Image: Create AI-generated images from text prompts.
- Image to Image: Transform existing images into new AI-generated images with different styles or modifications.
The App provides access to multiple third-party AI models, including but not limited to OpenAI Sora 2 Pro, Google Veo 3.1, Kuaishou Kling, ByteDance Seedance, MiniMax Hailuo, Midjourney, and others. Available models, features, and capabilities may change without notice as we add new models or retire existing ones.
We do not guarantee that any specific AI model will be available at all times. Model availability may depend on your subscription tier, geographic location, or third-party provider availability.
4. User Accounts
To access certain features of the Services, you must create an account. You may register using your email address or through a third-party authentication provider (Apple ID or Google Account).
You are responsible for:
- Providing accurate, current, and complete information during registration
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account, whether or not authorized by you
- Notifying us immediately at support@tfplabs.com if you suspect unauthorized access to your account
We reserve the right to suspend or terminate accounts that contain inaccurate information, remain inactive for an extended period, or violate these Terms. You may delete your account at any time through the App settings or by contacting us.
5. Credits, Subscriptions & Payments
5.1 Credits System
The App uses a virtual currency system ("Credits") to facilitate content generation. Each generation request consumes a certain number of Credits, which varies based on the AI model used, output quality, and content type (video or image). Credit costs for each model are displayed within the App before generation.
5.2 Purchases
Credits and subscriptions are purchased through in-app purchases via the Apple App Store or Google Play Store. All payments are processed by the respective platform. We do not directly collect, process, or store your payment card details. Prices are displayed in the App and may vary by region or platform.
5.3 Subscriptions & Auto-Renewal
Subscription plans provide a recurring allocation of Credits and may include additional benefits such as access to premium AI models or priority generation. Subscription lengths and pricing are displayed in the App at the time of purchase.
Payment will be charged to your Apple ID or Google Play account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
You can manage or cancel your subscription at any time through your Apple App Store or Google Play Store account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to subscription benefits until that date.
5.4 Refunds
Purchased Credits are non-refundable except as required by applicable law. Refund requests for in-app purchases must be directed to the Apple App Store or Google Play Store according to their respective refund policies. We are unable to process refunds directly for purchases made through these platforms.
5.5 Failed Generations
If a generation fails due to a technical error on our end or from a third-party AI provider, Credits consumed for that request will be refunded to your account automatically. We are not responsible for generation results that do not meet your expectations if the generation completed successfully.
6. User Content
6.1 Your Uploads
You retain all ownership rights to the photos, images, text prompts, and other content you upload to the App ("User Content"). By uploading User Content, you grant TFP Labs a limited, non-exclusive, worldwide, royalty-free license to use, process, transmit, and store your User Content solely for the purpose of providing the Services to you.
6.2 Content Representations
By uploading User Content, you represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to use and upload the content
- The content does not infringe on any third party's intellectual property, privacy, publicity, or other rights
- You have obtained consent from any identifiable individuals depicted in the content
- The content does not violate any applicable law or regulation
6.3 No Training on Your Data
We do not use your User Content or generated outputs to train, improve, or develop any AI models. Your content is processed solely to fulfill your generation requests and is stored securely to provide you with access to your generation history.
7. Generated Content & Ownership
Ownership: Subject to the terms of the underlying AI model providers, you own the videos and images generated through the App using your Credits ("Generated Content"). You may use Generated Content for personal, commercial, and social media purposes.
AI Model Provider Terms: Generated Content is produced using third-party AI models. Your use of Generated Content may be subject to additional terms, conditions, or usage restrictions imposed by the respective AI model providers. It is your responsibility to review and comply with any such terms. We make commercially reasonable efforts to select AI providers whose terms permit broad commercial use, but we cannot guarantee the terms of every third-party provider.
No Guarantee of Uniqueness: AI models may produce similar or identical outputs for different users or similar prompts. We do not guarantee that your Generated Content will be unique.
Limited License to Us: You grant us a limited license to use anonymized, aggregated metadata (such as model usage statistics and generation counts) to improve and optimize the Services. This does not include your actual content.
8. Acceptable Use Policy
You agree to use the Services responsibly and lawfully. You must NOT use the App to:
- Create, upload, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Generate deepfakes, manipulated media, or synthetic content intended to deceive, mislead, defraud, or manipulate others
- Create non-consensual intimate or sexual imagery of any person
- Generate content depicting child sexual abuse material (CSAM) or the exploitation of minors in any form
- Impersonate any real person, living or deceased, without their explicit consent (or the consent of their estate) for misleading or harmful purposes
- Create content that promotes terrorism, violence, self-harm, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin
- Violate any third party's intellectual property rights, including copyrights, trademarks, and trade secrets
- Distribute malware, viruses, or any other harmful software through the Services
- Attempt to circumvent, disable, or interfere with any security features, access controls, or usage limits of the App
- Use automated scripts, bots, scrapers, or other unauthorized means to access the Services
- Resell, sublicense, or provide access to the Services to third parties without our express written consent
- Use the Services in any way that could damage, disable, overburden, or impair our servers or infrastructure
We reserve the right to review, remove, or disable access to any content that violates these Terms or that we determine, in our sole discretion, to be harmful or inappropriate. Violations may result in immediate suspension or termination of your account without refund.
Content Moderation & Appeals: We may use a combination of automated systems and human review to detect violations. If your content is removed or your account is restricted, you may submit an appeal by contacting us at support@tfplabs.com within 30 days. We will review your appeal and notify you of our decision. This does not limit our right to take immediate action where we believe there is a risk of harm.
9. Intellectual Property
The App and its entire contents, features, functionality, design, branding, and source code (collectively, "App Materials") are owned by TFP Labs and are protected by copyright, trademark, trade dress, and other intellectual property laws. The "PixReel" name, logo, and all related marks are trademarks of TFP Labs.
You are granted a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the App on your personal mobile device(s)
- Access and use the Services for their intended purpose in accordance with these Terms
You must NOT:
- Copy, modify, adapt, or create derivative works of the App Materials
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use our trademarks or branding without prior written permission
10. Copyright Infringement & DMCA
We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act ("DMCA"), we will respond to valid notices of alleged copyright infringement that comply with the DMCA.
If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement through the Services, please submit a written notification to our designated copyright agent at support@tfplabs.com with the following information:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing, with sufficient information for us to locate it
- Your contact information (name, address, telephone number, and email address)
- A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner
Upon receiving a valid DMCA notice, we will remove or disable access to the allegedly infringing content and notify the user who posted it. Users who receive a DMCA notice may submit a counter-notification if they believe the content was removed in error. Repeat infringers may have their accounts terminated.
11. Feedback & Suggestions
If you provide us with any feedback, suggestions, ideas, improvements, or other input regarding the Services ("Feedback"), you acknowledge and agree that such Feedback is provided voluntarily, and we shall be free to use, disclose, reproduce, modify, license, or otherwise distribute and exploit the Feedback without any obligation, compensation, or restriction of any kind. You hereby assign to us all right, title, and interest in and to any Feedback you provide. Nothing in these Terms limits our right to independently develop, acquire, or market products or services that may be similar to or competitive with ideas contained in your Feedback.
12. Export Controls & Sanctions
The Services are subject to United States export control and sanctions laws and regulations. You agree to comply with all applicable export control laws, trade sanctions, and regulations, including but not limited to regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) and the U.S. Department of Commerce.
You represent and warrant that:
- You are not located in, or a resident or national of, any country subject to comprehensive U.S. sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine)
- You are not on any U.S. government restricted party list
- You will not use the Services in violation of any applicable export control or sanctions law
13. App Store Terms
If you downloaded the App from the Apple App Store or Google Play Store (each, an "App Store Provider"), you acknowledge and agree to the following:
- These Terms are between you and TFP Labs only, not with the App Store Provider. TFP Labs is solely responsible for the App and its content.
- The App Store Provider has no obligation to provide maintenance or support services for the App.
- In the event of any failure of the App to conform to applicable warranties, the App Store Provider is not responsible for any refund or liability beyond what is required by its own terms.
- The App Store Provider is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, legal compliance, or intellectual property claims.
- In the event of any third-party claim that the App infringes a third party's intellectual property rights, TFP Labs, not the App Store Provider, will be solely responsible for the investigation, defense, settlement, and discharge of such claim.
- The App Store Provider and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, the App Store Provider will have the right to enforce these Terms against you as a third-party beneficiary.
14. Third-Party AI Providers
The Services rely on third-party AI model providers to generate content. When you submit a generation request, your content (photos, prompts) is transmitted to the selected AI provider for processing. These providers include but are not limited to:
- OpenAI (Sora)
- Google (Veo)
- Kuaishou (Kling)
- ByteDance (Seedance)
- MiniMax (Hailuo)
- Midjourney
- Lightricks (LTX)
- Runware (image generation)
Each provider operates under its own terms of service and privacy policy. We encourage you to review the terms of the specific AI models you use. We select providers based on their commitment to user privacy and content security, but we cannot control their practices.
Intermediary Role: TFP Labs acts as an intermediary that facilitates access to third-party AI models. We do not control the outputs produced by these AI models and are not responsible for the content, quality, accuracy, or legality of AI-generated outputs. Your sole remedy for any issues arising from an AI provider's services, output, or data practices is with the respective AI provider, not with TFP Labs. Changes to, or discontinuation of, any third-party AI provider's services do not constitute a breach of these Terms by TFP Labs.
15. Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in our Privacy Policy. Key points: your data is stored securely, never shared for marketing or advertising, and never used to train AI models.
16. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TFP LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant or guarantee that:
- The Services will be available, uninterrupted, timely, secure, or error-free
- The quality, accuracy, completeness, or reliability of any Generated Content will meet your requirements or expectations
- Any specific AI model will be available or produce consistent results
- Defects in the Services will be corrected
- Generated Content will not infringe on any third-party rights
You acknowledge that AI-generated content may contain inaccuracies, artifacts, distortions, or other imperfections. You are solely responsible for reviewing and verifying any Generated Content before use, publication, or distribution.
AI-SPECIFIC DISCLAIMERS: WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE AND AGREE THAT: (A) AI MODELS MAY PRODUCE CONTENT THAT CONTAINS FABRICATED, FALSE, OR MISLEADING INFORMATION ("HALLUCINATIONS"); (B) AI MODELS MAY INADVERTENTLY GENERATE CONTENT THAT RESEMBLES OR REPRODUCES COPYRIGHTED MATERIAL, TRADEMARKS, OR OTHER PROTECTED WORKS — YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THAT YOUR GENERATED CONTENT DOES NOT INFRINGE THIRD-PARTY RIGHTS BEFORE USE OR DISTRIBUTION; (C) TFP LABS IS NOT LIABLE FOR ANY CLAIMS ARISING FROM DEEPFAKE, MANIPULATED, OR SYNTHETIC MEDIA CREATED BY USERS THROUGH THE SERVICES, AND WE WILL COOPERATE WITH LAW ENFORCEMENT AGENCIES INVESTIGATING MISUSE OF AI-GENERATED CONTENT AS REQUIRED BY LAW.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TFP LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or goodwill
- Cost of procurement of substitute services
- Damages resulting from unauthorized access to or alteration of your data
- Damages arising from your use of or inability to use the Services
- Damages resulting from any content generated through the Services
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
18. Indemnification
To the extent permitted by the laws of your jurisdiction, you agree to indemnify, defend, and hold harmless TFP Labs, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your User Content or Generated Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any rights of a third party. This indemnification obligation will survive the termination of these Terms and your use of the Services. This section does not apply to the extent prohibited by consumer protection laws in your jurisdiction, including but not limited to the EU Consumer Rights Directive and the UK Consumer Rights Act 2015.
19. Termination
By You: You may stop using the Services and delete your account at any time through the App settings or by contacting us. If you have an active subscription, you must cancel it separately through the Apple App Store or Google Play Store.
By Us — Material Breach: For material violations of these Terms (including but not limited to creating prohibited content, fraudulent activity, or conduct that poses a risk of harm), we may suspend or terminate your access to the Services immediately, without prior notice.
By Us — Non-Material Breach: For non-material breaches of these Terms, we will provide you with written notice describing the breach and a reasonable cure period of fourteen (14) days to remedy the breach before suspension or termination. If you fail to cure within this period, we may proceed with suspension or termination.
By Us — Other: We may also terminate your access if: (a) we are required to do so by law; or (b) we discontinue the Services entirely, in which case we will provide reasonable advance notice where practicable.
Effect of Termination: Upon termination, your right to use the Services will cease immediately. If termination is initiated by us for reasons other than your breach, we will provide a pro-rata refund of any unused prepaid Credits where required by applicable law. If termination is due to your breach of these Terms, unused Credits are forfeited. In all cases, credit forfeiture is subject to the consumer protection laws of your jurisdiction. We may delete your account data and content in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
20. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Informal Resolution: Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. You agree to contact us at support@tfplabs.com before initiating any formal proceedings. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may proceed to arbitration.
Binding Arbitration: Any unresolved dispute shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in the county of your residence or, at your election, via telephone or video conference. The arbitrator's decision will be final and binding. For claims under $10,000, TFP Labs will pay all AAA filing, administration, and arbitrator fees. For claims over $10,000, fees will be allocated according to the AAA Consumer Arbitration Rules.
Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
Equitable Relief: Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent imminent, irreparable harm.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as part of a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@tfplabs.com within thirty (30) days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, the remaining provisions of this section (including governing law) still apply.
EU/UK Users: If you are a consumer in the European Economic Area or the United Kingdom, this arbitration provision does not affect your right to bring a claim before the courts of your country of residence or to use any applicable alternative dispute resolution procedures required by local law.
21. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TFP Labs regarding the Services and supersede all prior agreements, understandings, and communications.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, third-party service outages, or internet disruptions.
22. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide notice through the App or via email. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Services.
